Terms of Service
Your rights and obligations when using the Arcus AI Governance Platform. Arcus is a compliance assistance tool — not legal advice.
1. Acceptance of Terms
By accessing or using the Arcus AI Governance Platform (the "Service"), operated by Arcus Technologies Pty Ltd (ABN pending), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not access or use the Service. We reserve the right to modify these Terms at any time. We will notify registered users of material changes at least 14 days before they take effect. Changes become effective upon posting to our website, and your continued use constitutes acceptance.
2. Description of Service
- Arcus provides an AI-powered governance platform that assists organizations in classifying AI system risk levels, assessing regulatory compliance posture, and generating compliance documentation. The Service is a compliance assistance tool designed to augment — not replace — qualified human professionals. The Service includes: AI system inventory management and registration.

- Automated compliance documentation generation.
- Continuous Bias and Drift Watchtower monitoring.

3. Account Registration and Security
- To access certain features of the Service, you must create an account using a valid corporate email address. Free or disposable email providers are not accepted. You agree to: Provide accurate, current, and complete information during registration.
- Maintain and promptly update your account information.
- Maintain the security and confidentiality of your login credentials.
- Notify us immediately of any unauthorized access or security breach.
- Accept responsibility for all activities that occur under your account. We reserve the right to suspend or terminate accounts that violate these Terms or engage in unauthorized activity.
4. Acceptable Use Policy
- You agree not to use the Service to: Violate any applicable local, national, or international law or regulation.
- Submit false, misleading, or fraudulent information about AI systems or organizational data.
- Attempt to reverse-engineer, decompile, or disassemble any portion of the Service.
- Interfere with or disrupt the integrity or performance of the Service or its infrastructure.
- Access or attempt to access other users' accounts, data, or organizational information without authorization.
- Use automated tools, bots, or scrapers to extract data from the Service without our written consent.
- Circumvent, disable, or otherwise interfere with security-related features of the Service.
- Resell, sublicense, or redistribute the Service or any outputs without express written permission.
5. Intellectual Property Rights
The Service, including its design, source code, algorithms, classification models, documentation templates, and all associated intellectual property, is owned by Arcus Technologies Pty Ltd and protected by copyright, trademark, and other intellectual property laws. You retain full ownership of all data you submit to the Service, including AI system descriptions, organizational information, and any content you create within the platform. By using the Service, you grant Arcus a limited, non-exclusive license to process your data solely for the purpose of providing the Service. We will not use your data to train AI models or share it with third parties except as described in our Privacy Policy. Compliance documents generated by the Service are provided for your organizational use. You may download, share, and use these documents within your organization and for regulatory compliance purposes.
6. AI-Assisted Outputs and Critical Liability Disclaimer
IMPORTANT NOTICE — PLEASE READ CAREFULLY.
Arcus is a compliance assistance tool. It is NOT a law firm, regulatory body, or substitute for qualified legal advice. The AI risk classifications, compliance assessments, recommendations, and documentation generated by the Service are produced using artificial intelligence technology (including Anthropic Claude) and are provided for informational and guidance purposes only. They do not constitute legal, professional, or regulatory advice. All AI-generated outputs are designed to augment — not replace — the judgment of qualified human professionals. You must independently verify all AI-generated classifications, assessments, and recommendations with qualified legal counsel or compliance professionals familiar with your jurisdiction and specific use case. Before making any compliance, legal, or business decisions based on AI-generated content, you should obtain independent professional advice. Arcus does not guarantee that following AI-generated recommendations or using AI-generated documentation will ensure full regulatory compliance. Regulatory frameworks including the EU AI Act, Australian Privacy Act, and other global AI regulations are subject to interpretation, ongoing development, and change. Arcus Technologies Pty Ltd and its affiliates expressly disclaim all liability for any actions taken or not taken based on AI-generated content from the Service. You acknowledge and agree that you are ultimately responsible for ensuring your organization's compliance with all applicable laws and regulations, and that reliance on AI-generated content is at your own risk.
7. Subscription, Payment, and Cancellation
- The Service offers a 14-day free trial, no credit card required, with access to limited features (up to 3 AI systems, 3 jurisdictions). Paid subscription tiers are: Starter at $299 AUD per month, Professional at $799 AUD per month, and Business at $1,999 AUD per month. All prices are in Australian Dollars (AUD) and exclusive of applicable taxes (including GST). Subscription fees are billed in advance on a monthly or annual basis as selected. You may cancel your subscription at any time through the Settings page. Upon cancellation: Your access to paid features will continue until the end of your current billing period.
- Annual subscribers who cancel mid-term may request a pro-rata refund for remaining full months.
- Your data will be retained for 30 days after the end of your billing period, during which you may request a full data export.
- After 30 days, your data will be permanently deleted. We will provide at least 30 days' notice before implementing pricing changes for existing subscribers. Failure to pay may result in suspension of access to paid features.
8. Data Processing and Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in our Privacy Policy. We process your data using the following sub-processors: Supabase (database hosting and authentication, US-based with SOC 2 Type II compliance); Anthropic (AI processing via Claude, data is not used for model training); Resend (transactional email delivery). We implement appropriate technical and organizational measures to protect your data, including TLS 1.3 encryption in transit, AES-256 encryption at rest, Row Level Security (RLS) for organizational data isolation, and regular security assessments. If you participate in the Government Regulatory Oversight Portal, data sharing with regulatory agencies is strictly opt-in and governed by explicit consent with granular data-type controls. An immutable audit trail records all government access to shared data.
9. Limitation of Liability
- To the maximum extent permitted by applicable law (including the Australian Consumer Law), Arcus and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, including but not limited to: regulatory penalties, fines, or enforcement actions resulting from reliance on classifications or recommendations provided by the Service.
- loss of data, revenue, or business opportunities.
- interruption or unavailability of the Service.
- errors or inaccuracies in AI risk classifications or compliance assessments. Our total aggregate liability for all claims arising under or in connection with these Terms shall not exceed the amount you paid for the Service in the twelve months preceding the claim, or $100 AUD, whichever is greater. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability under the Australian Consumer Law for consumer guarantees.
10. Indemnification
- You agree to indemnify, defend, and hold harmless Arcus Technologies Pty Ltd, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: your use of the Service.
- your violation of any applicable law or regulation.
- any inaccurate or misleading information you provide through the Service.
- any regulatory action or penalty arising from your reliance on AI-generated outputs without obtaining independent professional verification.
11. Termination
Either party may terminate these Terms at any time. By You: You may close your account at any time through the Settings page. Upon termination, your access to the Service will cease and your data will be retained for 30 days before permanent deletion. You may request a data export during this period. By Us: We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or if required by law. We will provide reasonable notice unless immediate termination is necessary to prevent harm. Sections that by their nature should survive termination will survive, including Sections 5 (Intellectual Property), 6 (AI Disclaimer), 9 (Limitation of Liability), 10 (Indemnification), and 12 (Governing Law).
12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Victoria, Australia, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If a resolution cannot be reached within 30 days, disputes shall be submitted to binding arbitration in accordance with the rules of the Australian Centre for International Commercial Arbitration (ACICA) in Melbourne, Victoria. Nothing in this clause prevents either party from seeking urgent interlocutory relief from any court of competent jurisdiction.
