1. Acceptance of Terms
By accessing or using the Arcus AI Governance Platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, you may not access or use the Service. We reserve the right to modify these Terms at any time. Changes become effective upon posting to our website.
2. Description of Service
Arcus provides an AI-powered governance platform that helps organizations classify AI system risk levels, assess regulatory compliance, and generate compliance documentation. The Service includes:
- AI system inventory management and registration
- Automated risk classification against the EU AI Act and Australian Privacy Act frameworks
- Compliance gap analysis and requirements tracking
- Automated compliance documentation generation
- Organization-wide compliance dashboards and analytics
- Free AI risk assessment tool for public use
3. Account Registration and Security
To access certain features of the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration.
- Maintain and promptly update your account information.
- Maintain the security and confidentiality of your login credentials.
- Notify us immediately of any unauthorized access or security breach.
- Accept responsibility for all activities that occur under your account.
We reserve the right to suspend or terminate accounts that violate these Terms or engage in unauthorized activity.
4. Acceptable Use Policy
You agree not to use the Service to:
- Violate any applicable local, national, or international law or regulation.
- Submit false, misleading, or fraudulent information about AI systems or organizational data.
- Attempt to reverse-engineer, decompile, or disassemble any portion of the Service.
- Interfere with or disrupt the integrity or performance of the Service or its infrastructure.
- Access or attempt to access other users' accounts, data, or organizational information without authorization.
- Use automated tools, bots, or scrapers to extract data from the Service without our written consent.
- Circumvent, disable, or otherwise interfere with security-related features of the Service.
5. Intellectual Property Rights
The Service, including its design, source code, algorithms, classification models, documentation templates, and all associated intellectual property, is owned by Arcus and protected by copyright, trademark, and other intellectual property laws.
You retain ownership of all data you submit to the Service, including AI system descriptions, organizational information, and any content you create within the platform. By using the Service, you grant Arcus a limited, non-exclusive license to process your data solely for the purpose of providing the Service.
Compliance documents generated by the Service are provided for your organizational use. You may download, share, and use these documents within your organization and for regulatory compliance purposes.
6. AI-Generated Content and Liability Limitations
IMPORTANT: AI-Generated Content Disclaimer. The AI risk classifications, compliance assessments, recommendations, and documentation generated by the Service are produced using artificial intelligence technology and are provided for informational and guidance purposes only. They do not constitute legal, professional, or regulatory advice.
While Arcus strives for accuracy in its risk classification engine and regulatory analysis:
- All AI-generated content, including risk classifications, compliance assessments, gap analyses, and generated documents, is provided "as is" without warranty of any kind.
- Classifications are based on the information you provide and the current understanding of applicable regulations at the time of generation.
- The accuracy, completeness, and applicability of AI-generated content to your specific circumstances have not been verified by a qualified legal professional.
- Regulatory frameworks, including the EU AI Act and Australian Privacy Act, are subject to interpretation, ongoing development, and may evolve over time.
- You must independently verify all AI-generated classifications, assessments, and recommendations with qualified legal counsel or compliance professionals familiar with your jurisdiction and specific use case.
- Arcus does not guarantee that following AI-generated recommendations or using AI-generated documentation will ensure full regulatory compliance.
- Before making any decisions based on AI-generated content, you should consult with qualified professionals.
Liability Disclaimer: Arcus Technologies and its affiliates expressly disclaim all liability for any actions taken or not taken based on AI-generated content from the Service. You acknowledge and agree that you are ultimately responsible for ensuring your organization's compliance with all applicable laws and regulations, and that reliance on AI-generated content is at your own risk.
7. Payment and Subscription
During the beta period, the Service is available free of charge. When pricing is introduced:
- Subscription fees will be billed in advance on a monthly or annual basis as selected.
- All fees are non-refundable unless otherwise stated or required by applicable law.
- We will provide at least 30 days notice before implementing pricing changes for existing users.
- Failure to pay may result in suspension or termination of access to the Service.
8. Data Handling and Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in our Privacy Policy.
We implement appropriate technical and organizational measures to protect your data, including encryption, access controls, and database-level row isolation.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Arcus and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, including but not limited to:
- Regulatory penalties, fines, or enforcement actions resulting from reliance on classifications or recommendations provided by the Service.
- Loss of data, revenue, or business opportunities.
- Interruption or unavailability of the Service.
- Errors or inaccuracies in AI risk classifications or compliance assessments.
Our total aggregate liability shall not exceed the amount you paid for the Service in the twelve months preceding the claim, or $100 AUD, whichever is greater.
10. Termination
Either party may terminate these Terms at any time:
- By You: You may close your account at any time through the Settings page. Upon termination, your access to the Service will cease and your data will be retained for 30 days before permanent deletion.
- By Us: We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or if required by law. We will provide reasonable notice unless immediate termination is necessary to prevent harm.
Upon termination, you may request an export of your data before the 30-day retention period expires.
11. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of Australia, without regard to its conflict of law provisions.
Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If a resolution cannot be reached within 30 days, disputes shall be submitted to binding arbitration in accordance with the rules of the Australian Centre for International Commercial Arbitration.
